Announcement PDF ASX Announcement 7 June 2023 Section 708A(5)(e) Notice – Issue of Elixinol Wellness Limited shares without a prospectus Elixinol Wellness Limited (Elixinol Wellness or the Company) (ASX:EXL) has today issued 20,499,953 fully paid ordinary shares in the Company (Shares) to professional and sophisticated investors, as follows: • 17,499,953 Shares were issued pursuant to the underwriting arrangements in respect of the Company’s share purchase plan which was announced to ASX on 5 April 2023 (SPP); and • 3,000,000 Shares were issued to Canaccord Genuity (Australia) Limited (or nominee(s)) as consideration for underwriting the SPP, in each case as approved by EXL’s shareholders at the Annual General Meeting on 31 May 2023. The Company gives notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) (Act) that: 1. the Company issued 20,499,953 Shares without disclosure to investors under Part 6D.2 of the Act; 2. as at the date of this notice, the Company has complied with: (a) the provisions of Chapter 2M of the Act as they apply to the Company; and (b) sections 674 and 674A of the Act; and 3. as at the date of this notice, there is no information that is ‘excluded information’ (within the meaning of section 708A(7) and section 708A(8) of the Act).
