Directors' report
30 June 2026
2
The Directors of Elixinol Wellness Limited ('Elixinol Wellness' or the 'Company') present this report, together with the financial
statements of the Company and its controlled entities ('Consolidated Entity' or 'Group') for the half-year ended 30 June 2026 ('H1 FY26').
Directors
The Directors of the Company in office during the financial half-year and up to the date of this report are as follows:
Gavin Evans Independent Non-Executive Chair
Pauline Gately Independent Non-Executive Director
Natalie Butler Executive Director and Chief Executive Officer
The Directors were in office for the entire period unless otherwise stated.
Principal activities
The principal activities of the Company during the half-year comprised the development, sourcing, manufacture and supply of a range
of complementary products for health-conscious consumers across three verticals: human nutrition, human wellness and superfood
ingredients.
The principal activities of the Group are:
Australia
Elixinol's Australian operations encompass a vertically integrated business that produces, manufactures, and distributes a range of highly
complementary products for health-conscious consumers across three verticals – human nutrition, human wellness and superfood
ingredients. These products are sold under a portfolio of brands led by The Healthy Chef and Hemp Foods Australia — the Group's two
largest revenue contributors in H1 FY26.
Elixinol Americas
Established in 2014, Elixinol Americas is based in the United States and specialises in marketing and distributing products made
from premium quality, predominantly 'whole plant' full spectrum CBD. During H1 FY26, the Company operated exclusively as an e-
commerce business.
Operating and financial review
Revenue performance and operating expenses trend
Revenue from continuing operations increased 5.8% to $7,197,000 (H1 FY25: $6,801,000), driven by strong performances from the
Group's key brands. The Healthy Chef delivered revenue growth of 22%, supported by its retail expansion into Priceline Pharmacy, while
Hemp Foods Australia grew revenue by +14%, with gross margin improving to 48%. The Group’s bulk hemp business, operating under
the Australian Primary Hemp brand, also grew 16% compared with H1 FY25, driven by growth in hemp grocery contracts that remain in
place into 2027. This brand-led growth, combined with an improved product mix, lifted Group gross margin to 43% (H1 FY25: 33%).
Operating expenses reduced by 25% to $3,325,000 (H1 FY25: $4,403,000), reflecting disciplined cost management and a streamlined
cost base following the Group's operational rationalisation.
Statutory loss
The loss for the Group after providing for income tax amounted to $1,071,000 (30 June 2025: $3,093,000), comprising a loss from
continuing operations of $973,000 (H1 FY25: $2,941,000 loss) and a $98,000 loss (H1 FY25: $152,000 loss) from the discontinued US
business.
Underlying earnings (Adjusted EBITDA)
The Group’s earnings before interest, tax, depreciation and amortisation ('EBITDA') including share of associates’ net loss and excluding
impairments and share-based payments for the period ended 30 June 2026 was an Adjusted EBITDA loss of $134,000 (30 June 2025:
Adjusted EBITDA loss of $2,094,000) reflecting stronger revenue, higher gross margins and the reduction in the Group's operating cost
base.

Adjusted EBITDA (134) (2,094)
* Non-operating transactions comprise non-recurring restructuring, business integration and other one-time expenses that are not considered reflective of the underlying operating performance of the
business.
EBITDA and Adjusted EBITDA are financial measures which are not prescribed by Australian Accounting Standards ('AAS') and represent
the statutory result under AAS, adjusted for certain items. The Directors consider EBITDA and Adjusted EBITDA to reflect the core
earnings of the Group.
Operating cash flow and balance sheet position
Net operating cash outflow for H1 FY26 was $712,000, compared with $1,383,000 in H1 FY25. The improvement reflects the Group's
higher gross margin and reduced cost base, with payments to suppliers and employees falling to $8,042,000 (H1 FY25: $9,631,000) and
interest and other finance costs paid reducing to $122,000 (H1 FY25: $207,000), notwithstanding the absence of the $481,000 insurance
recovery received in the prior corresponding period.
Impairment charges
Impairment charges were $123,000 in H1 FY26, compared with impairment and other asset write-off charges of $288,000 in H1 FY25.
The H1 FY26 charge relates entirely to the intangible assets of the Ananda Brands cash-generating unit and comprises $41,000 against
goodwill, $43,000 against the brand name and $39,000 against the patent.
Significant changes in the state of affairs
Change in share registry
On 30 March 2026, the Company announced it changed its share registry to Boardroom Pty Limited from Automic Pty Ltd. The change
became effective on 7 April 2026.
Change in Company Secretary
On 14 April 2026, the Company appointed Ms Mariia Skorikova and Mr Tony Di Pietro as joint Company Secretaries, replacing Ms Melanie
Leydin who resigned on this date.
Small parcel sale facility
On 20 April 2026, the Company established a Small Parcel Sale Facility ('SPSF') for shareholders holding less than a marketable parcel of
ordinary shares, being a holding valued at less than $500 based on the ASX closing share price. The facility enables eligible shareholders
to sell their shares without incurring brokerage or other transaction costs, which will be borne by the Company (excluding any tax
consequences arising from the sale). The SPSF is expected to reduce the administrative costs associated with maintaining a large number
of small shareholdings. Based on the closing share price on 17 April 2026, the aggregate value of shares eligible under the facility was
estimated at approximately $177,802.
Elixinol Wellness Limited
Directors' report
30 June 2026
4
On 18 June 2026, the Company announced the completion of the SPSF with 7,387 shareholders holding an aggregate of 18,788,535
shares selling with a sale price of $0.006 per share generating sale proceeds of $112,731. Settlement occurred on 26 June 2026.
There were no other significant changes in the state of affairs of the Group during the financial half-year.
Matters subsequent to the end of the financial half-year
Subsequent to 30 June 2026, the Company received a letter of offer to divest the assets of its US business. The parties have progressed
negotiations towards the execution of definitive transaction documentation.
The proposed transaction is consistent with the Board’s commitment to the divestment of the US business and the Group’s strategic
focus on its Australian operations. The US business has been classified as a discontinued operation and the related assets have been
classified as held for sale in these financial statements in accordance with AASB 5 'Non-current Assets Held for Sale and Discontinued
Operations'.
Completion of the transaction remains subject to the execution of definitive agreements and the satisfaction of customary conditions
precedent. The transaction is expected to generate cash proceeds for the Group and, upon completion, strengthen the Group’s
liquidity position.
Following the Annual General Meeting (AGM) held on 27 May 2026, at which shareholders approved a resolution to undertake a
capital raising, the Group has continued to assess its funding requirements and the appropriate structure and timing of any capital
raising. No equity capital raising has been implemented as at the date of this report.
The Group has closed a Convertible Note offer, as approved at the AGM, to provide additional working capital and support the Group’s
liquidity requirements. As at the date of this report, subscriptions totalling $1,055,000 have been received. The Directors continue to
closely monitor the Group’s liquidity position and financing requirements and are progressing funding initiatives to support the Group’s
ongoing working capital requirements.
Other than the matters described above, there have been no other matters or circumstances that have arisen since 30 June 2026 that
have significantly affected, or may significantly affect, the operations of the Group, the results of those operations, or the state of
affairs of the Group in subsequent financial periods.
Rounding of amounts
The Company is of a kind referred to in Corporations Instrument 2026/183, issued by the Australian Securities and Investments
Commission, relating to 'rounding-off'. Amounts in this report have been rounded off in accordance with that Corporations
Instrument to the nearest thousand dollars, or in certain cases, the nearest dollar.
Auditor's independence declaration
A copy of the auditor's independence declaration as required under section 307C of the Corporations Act 2001 is set out
immediately after this Directors' report.
This report is made in accordance with a resolution of Directors, pursuant to section 306(3)(a) of the Corporations Act 2001.
On behalf of the Directors

Note 1. General information
The financial statements cover Elixinol Wellness Limited as a group consisting of Elixinol Wellness Limited ('Company' or 'parent entity')
and the entities it controlled at the end of, or during, the period ('Group'). The financial statements are presented in Australian dollars,
which is Elixinol Wellness Limited's functional and presentation currency.
Elixinol Wellness Limited is a listed public company limited by shares, incorporated and domiciled in Australia. Its registered office is:
Registered office Principal place of business
Suite 2 51 -53 Riversdale Road
Level 11 Newtown VIC 3220
385 Bourke Street
Melbourne VIC 3000
A description of the nature of the Group's operations and its principal activities are included in the Directors' report, which is not part of
the financial statements.
The financial statements were authorised for issue, in accordance with a resolution of Directors, on 31 August 2026. The Directors have
the power to amend and reissue the financial statements.
Note 2. Material accounting policy information
These general purpose financial statements for the interim half-year reporting period ended 30 June 2026 have been prepared in
accordance with Australian Accounting Standard AASB 134 'Interim Financial Reporting' and the Corporations Act 2001, as appropriate
for for-profit oriented entities. Compliance with AASB 134 ensures compliance with International Financial Reporting Standard IAS 34
'Interim Financial Reporting'.
These general purpose financial statements do not include all the notes of the type normally included in annual financial statements.
Accordingly, these financial statements are to be read in conjunction with the annual report for the year ended 31 December 2025 and
any public announcements made by the Company during the interim reporting period in accordance with the continuous disclosure
requirements of the Corporations Act 2001.
The accounting policies adopted are consistent with those of the previous financial year and corresponding interim reporting period,
unless otherwise stated.
New or amended Accounting Standards and Interpretations adopted
The Group has adopted all of the new or amended Accounting Standards and Interpretations issued by the Australian Accounting
Standards Board ('AASB') that are mandatory for the current reporting period. The adoption of these Accounting Standards and
Interpretations did not have any significant impact on the financial performance or position of the Group during the financial half-year
ended 30 June 2026 and are not expected to have a significant impact for the full financial year ending 31 December 2026.
Any new or amended Accounting Standards or Interpretations that are not yet mandatory have not been early adopted.
Going concern
The financial statements have been prepared on a going concern basis, which contemplates the continuation of normal business
operations and the realisation of assets and settlement of liabilities in the normal course of business.
As disclosed in the financial statements, the Group incurred a net loss before tax of $1,071,000 and had net cash outflows from operating
activities of $712,000 for the half-year ended 30 June 2026. As at that date, the Group had net current liabilities of $1,547,000.
These factors indicate a material uncertainty that may cast significant doubt as to whether the Group will continue as a going concern
and therefore whether it will realise its assets and discharge its liabilities in the normal course of business and at the amounts stated in
the half year financial report.
Elixinol Wellness Limited
Notes to the consolidated financial statements
30 June 2026
Note 2. Material accounting policy information (continued)
12
The Directors believe that there are reasonable grounds to believe that the Group will be able to continue as a going concern, after
consideration of the following factors:
● The Group has prepared cash flow forecasts covering the period of at least 12 months from the date of approval of these financial
statements, which indicate that the Group is expected to maintain sufficient liquidity to meet its obligations as they fall due. These
forecasts include assumptions around a capital raising event;
● The Group is currently undertaking a capital raising and convertible note offer to provide additional working capital and support its
liquidity requirements (refer note 18 Events after the reporting period). Based on the level of investor support received to date and
the Group's demonstrated history of raising capital, the Directors are confident these initiatives will be completed successfully;
● The proposed divestment of the US business (refer note 7 Discontinued operations) is expected to generate cash proceeds and
further strengthen the Group's liquidity upon completion; and
● The Group has demonstrated an ability to manage its operating cost base and, if required, has the capacity to further reduce
discretionary expenditure and defer certain non-essential capital and operating commitments to preserve cash.
Accordingly, the Directors believe it is appropriate to prepare the financial statements on a going concern basis and that it is appropriate
to adopt the going concern basis in the preparation of the financial report.
In the event the Group is unsuccessful at capital raising or completing the convertible note offer, and alternative funding sources were
not available to be obtained, the Group would not be a going concern and therefore will not be able to realise its assets and extinguish
it’s liabilities in the normal course of business, at the amounts stated in the half-year financial report.
The financial statements do not include any adjustments relating to the recoverability and classification of recorded asset amounts, or
to the amounts and classification of liabilities, that may be necessary if the Group is unable to continue as a going concern.
Note 3. Critical accounting judgements, estimates and assumptions
The preparation of the financial statements requires management to make judgements, estimates and assumptions that affect the
reported amounts in the financial statements. Management continually evaluates its judgements and estimates in relation to assets,
liabilities, contingent liabilities, revenue and expenses. Management bases its judgements, estimates and assumptions on historical
experience and on other various factors, including expectations of future events, management believes to be reasonable under the
circumstances. The judgements, estimates and assumptions that have a significant risk of causing a material adjustment to the carrying
amounts of assets and liabilities are consistent with those of the latest Annual Report.
Note 4. Operating segments
Identification of reportable operating segments
The Group is organised into three operating segments: Australia, Americas and Rest of World. There is one single business segment,
being the sale of nutraceutical and related hemp products. These operating segments are based on the internal reports that are reviewed
and used by the Board of Directors (who are identified as the Chief Operating Decision Makers ('CODM')) in assessing performance and
in determining the allocation of resources. There is no aggregation of operating segments.
The CODM reviews Adjusted EBITDA (earnings before interest, tax, depreciation and amortisation), adjusted for impairment. The
accounting policies adopted for internal reporting to the CODM are consistent with those adopted in the financial statements.
The information reported to the CODM is on a monthly basis.
